Consignor Contract Terms
Couture appreciates your business and as one of our valued customers, we are committed to selling your designer items at the best possible price. So that we may operate efficiently, we ask that you comply with the following policies:

TERM:
This consignment agreement shall have a term of 90 days from the date of acceptance of all Consignor merchandise and as approved by Couture. Couture reserves the right to return any and all merchandise to Consignor prior to the expiration of the consignment agreement period and for any reason. The consignment agreement may be terminated by the Consignor prior to the expiration of the consignment agreement with five (5) days written notice. Acceptable forms of written notice are certified mail or email only. Should any merchandise remain unsold at the end of the consignment period or if the consignment period is terminated by either party, Couture will return your items upon request only. In such cases, any costs incurred by the delivery of merchandise to Consignor shall be borne by Consignor. Items that are not claimed within seven (7) days following the end of the consignment period will, without notice, become the property of Couture. Consignors will not be paid for items sold after the claim date.

CONDITION:
All consigned merchandise must be delivered to Couture in excellent condition and must be of the highest quality, cleaned, on hangers (if applicable), and “ready to sell.” Consignor must disclose to Couture, prior to the acceptance of merchandise by Couture, any and all flaws, damage, and/or alterations to the merchandise, regardless of size or appearance. In cases where damage or alterations are not disclosed, Couture reserves the right to terminate the consignment agreement at any time and without notice. Couture, at its sole discretion, retains the right to have merchandise cleaned or repaired at the consignor’s expense if items are deemed to not be “ready to sell” by Couture.

OWNERSHIP:
The Consignor guarantees that he/she is the true and lawful owner of any and all merchandise consigned with Couture. Consignor agrees to indemnify and hold harmless Couture for any damages arising from any and all claims, demands, losses, causes of action, damage, lawsuits, judgments, including attorneys' fees and costs, to the extent caused by or arising out of or relating to the unlawful ownership of merchandise.

AUTHENTICITY:
Couture accepts only authentic designer items. Consignor guarantees the authenticity of all merchandise consigned with Couture. Any Consignor item delivered to Couture and deemed to be unauthentic by Couture or any qualified 3rd party, will either be returned to Consignor for a twenty five dollar ($25) processing fee, or will be destroyed or discarded.

PRICING:
Couture and Consignor will mutually agree on price before any merchandise is made available for sale. In cases where Consignor does not explicitly specify a desired sale price, Couture reserves the right to determine the final selling price of any and all merchandise. Final sale prices will be determined based on brand, style, condition, and market demand of merchandise. Unless otherwise specifically stated by the Consignor, all merchandise is subject to regularly schedule markdown periods occurring at 30 day intervals from the initial date of consignment or at any time per the discretion of Couture. If Consignor requires a specific sale price for his/her merchandise, the Consignor must explicitly state the required price in the Resale Itemization Sheet included with the consignment contract. If the merchandise does not sell within 30 days and at the Consignor’s required price, Couture reserves the right to discount the merchandise up to, but not to exceed, twenty (20) percent. The sale of discounted merchandise will not affect the commission percentage earned by Couture.

PROCEEDS/PAYMENTS:
In all cases where Consignor items are sold, Consignor will receive a payment in the amount of 50% or 70% of the selling price, depending on the brand and agreed upon commission percentage between Couture and the Consignor. Payments are made following the sale of merchandise by check and will be mailed between the 10th and 20th of each month for items sold during the prior month.

RISK OF LOSS:
Upon delivery and acceptance of all consigned merchandise, Couture will accept full responsibility for all merchandise until said merchandise has been delivered to its respective buyer or has been returned to the Consignor. Consignor represents that he/she maintains insurance for loss, destruction or damage of all merchandise and that said merchandise will be covered by said insurance until merchandise has been delivered to and accepted by Couture at its retail store located at 9904, W Linebaugh Ave, Tampa, FL 33626.

RECORD KEEPING:
Couture agrees to maintain documentation of all contractual agreements and sale transactions on behalf of the Consignor, but it is ultimately the responsibility of the Consignor to maintain all accurate records of merchandise consignments and contract expiration.

AGREEMENT:
This agreement may not be modified unless agreed to in writing and signed by both Couture and the Consignor. All reasonable disputes will be directed to the Hillsborough County better business bureau within the state of Florida where the dispute will be handled accordingly.
